1. Agreement to Terms

By downloading, installing, accessing, or using the Volqan framework (“Software”), any software distributed under the Volqan namespace (@volqan/*), the Bazarix marketplace (“Marketplace”) located at https://bazarix.link, or any associated services, APIs, documentation, or websites (collectively, the “Platform”), you (“User,” “Licensee,” or “you”) agree to be legally bound by these Terms of Service (“Terms”).

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” shall refer to that entity.

If you do not agree to these Terms in their entirety, you must immediately cease all use of the Platform and delete any copies of the Software in your possession.

ReadyPixels (“Company,” “we,” “us,” or “our”) reserves the right to modify these Terms at any time. Continued use of the Platform after any such modification constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify users of material changes via email or a notice on the Platform.


2. Definitions

For purposes of these Terms, the following definitions apply:

“Software” means the Volqan open-source application framework, including all packages published under the @volqan/* npm scope, the CLI tool (npx create-volqan-app), and all associated source code, documentation, and assets.

“Marketplace” means the Bazarix platform accessible at https://bazarix.link, through which approved sellers distribute extensions, themes, templates, and related products built for the Volqan framework.

“Extension” means any software package designed to extend the functionality of the Software, distributed through the Marketplace or other channels.

“Theme” means any design or visual customization package designed to alter the appearance of applications built with the Software.

“Support Plan” means a paid subscription tier that grants the licensee, among other benefits, the right to remove the Attribution Notice from their deployments of the Software.

“Attribution Notice” means the notice reading “Powered by Volqan — https://volqan.link” required to be displayed on all deployments of the Software absent an active Support Plan.

“License API” means the licensing verification endpoint located at https://bazarix.link/api/v1/license, which validates active Support Plan subscriptions.

“Platform Service Fee” means the fee assessed on transactions as further described in Section 8 of these Terms.

“Installation ID” means the unique identifier automatically generated by the Software upon installation, used for license validation and analytics.


3. License Grant and Open Core Attribution License

3.1 Open Core Attribution License

The Software is licensed under the Open Core Attribution License v1.0 (“OCAL”). Subject to the terms and conditions of these Terms and the OCAL, ReadyPixels grants you a worldwide, royalty-free, non-exclusive license to use, copy, modify, merge, publish, distribute, and sublicense the Software, subject to the following mandatory conditions:

3.2 Attribution Requirement

All deployments of the Software, whether modified or unmodified, must display the following notice in a location reasonably visible to end users, such as an admin panel footer, application footer, or About page:

“Powered by Volqan — https://volqan.link”

This notice must remain visible, unobscured, and unaltered at all times during active operation of any deployment of the Software. The notice must be rendered in a manner that is legible and reasonably prominent. Placement in source code comments, metadata, or locations inaccessible to ordinary end users does not satisfy this requirement.

3.3 Consequences of Attribution Removal or Tampering

Removal, concealment, modification, or obstruction of the Attribution Notice without an active Support Plan subscription constitutes a material breach of the OCAL and these Terms. Upon such breach:

(a) The license granted under Section 3.1 terminates automatically and immediately without notice;

(b) The breaching party loses all rights to use, distribute, or deploy the Software and must immediately cease all such activities;

(c) ReadyPixels may pursue all available legal and equitable remedies, including injunctive relief, statutory damages under applicable copyright law, actual damages, and recovery of attorneys’ fees and costs;

(d) The breaching party may be liable for copyright infringement under 17 U.S.C. § 101 et seq. and applicable international copyright law;

(e) ReadyPixels reserves the right to publicly identify and document confirmed violations.

3.4 Attribution Removal — Authorized Method

The Attribution Notice requirement may be waived exclusively for installations holding an active Support Plan subscription that is validated in real time by the License API at https://bazarix.link/api/v1/license. Attribution removal is not effective until the License API confirms an active subscription for the applicable Installation ID. Cancellation, expiration, or failure to renew a Support Plan immediately reinstates the Attribution Notice requirement.

3.5 Commercial Distribution Restrictions

Redistribution or resale of the core Software itself, in whole or substantially in whole, requires prior written permission from ReadyPixels. Extensions, themes, and applications built using the Software as a framework may be sold and distributed freely without restriction.


4. Support Plans and Subscriptions

4.1 Available Plans

ReadyPixels offers Support Plans for the Volqan framework on the following billing cycles:

Support Plan — Monthly Monthly (recurring) Equal to (Annual Price ÷ 12) × 1.25

Current pricing is displayed at https://volqan.link/pricing and may be updated by ReadyPixels with thirty (30) days’ notice to subscribers.

4.2 Monthly Plan Pricing Formula

The Monthly Support Plan is priced at twenty-five percent (25%) above the equivalent monthly cost of the Yearly Support Plan. Specifically:

Monthly Price = (Yearly Price ÷ 12) × 1.25

This premium reflects higher administrative overhead, payment processing costs, increased churn risk, and cash flow variance associated with monthly billing cycles. The monthly uplift is non-negotiable and may not be waived.

Example: If the Yearly Support Plan is priced at $120.00 per year, the Monthly Support Plan will be priced at ($120.00 ÷ 12) × 1.25 = $12.50 per month.

4.3 Subscription Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period unless canceled prior to the renewal date. You may cancel your subscription at any time through your account dashboard or by contacting sharif@readypixels.com. Cancellation takes effect at the end of the then-current billing period. No partial-period refunds are issued upon cancellation, except as provided in the Refund Policy.

4.4 Effect of Cancellation or Non-Renewal

Upon cancellation, expiration, or lapse of a Support Plan subscription for any reason:

(a) The right to suppress the Attribution Notice is immediately revoked; (b) The Software will restore the Attribution Notice on its next license check; (c) No grace period is provided for restoration of the Attribution Notice unless separately agreed in writing.

4.5 Plan Modifications

ReadyPixels reserves the right to modify, discontinue, or replace Support Plan tiers at any time. Existing subscribers will be notified at least thirty (30) days in advance of material changes to their plan.


5. Marketplace Terms

5.1 Marketplace Access

Access to and use of the Bazarix Marketplace is subject to these Terms and any additional terms posted on the Marketplace. The Marketplace is a separate platform from the Software and operates independently.

5.2 Revenue Share

Marketplace transactions are subject to a revenue split of seventy percent (70%) to the seller and thirty percent (30%) to ReadyPixels (the “Platform Commission”), calculated on the listing price exclusive of the Platform Service Fee.

5.3 Listing Prices

Minimum listing price on the Marketplace is $5.00 USD. Maximum listing price is $999.00 USD. All prices are denominated in United States Dollars.

5.4 License Keys

Paid extensions and themes purchased through the Marketplace are associated with a license key in the format MKT-[PRODUCT_ID]-[INSTALL_ID]-[EXPIRY_HASH]. License keys are validated by the License API. License keys are non-transferable unless ReadyPixels expressly permits transfer in writing.


6. User Accounts

6.1 Account Registration

Certain features of the Platform require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials.

6.2 Account Security

You are solely responsible for all activities that occur under your account. You must notify ReadyPixels immediately at sharif@readypixels.com if you suspect unauthorized access to or use of your account.

6.3 Account Termination

ReadyPixels may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct that ReadyPixels determines, in its sole discretion, is harmful to the Platform, other users, or third parties. Upon termination, all licenses granted to you under these Terms immediately cease.


7. Prohibited Conduct

You agree not to:

(a) Remove, obscure, modify, or circumvent the Attribution Notice without an active Support Plan;

(b) Reverse engineer, decompile, or disassemble any portion of the Platform not licensed under an open-source license;

(c) Use the Platform to distribute malware, spyware, backdoors, or any code with undisclosed network functionality;

(d) Submit extensions or themes containing obfuscated code that conceals external data transmission;

(e) Infringe the intellectual property rights of ReadyPixels or any third party;

(f) Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;

(g) Attempt to gain unauthorized access to any portion of the Platform or its underlying systems;

(h) Engage in any activity that disrupts or interferes with the Platform’s operation or other users’ access;

(i) Use automated means to access the Platform in a manner that exceeds normal usage patterns without ReadyPixels’ express permission;

(j) Misrepresent your identity or affiliation with any person or entity.


8. Platform Service Fees

8.1 Fee Application

A Platform Service Fee is applied to all transactions to cover secure global payment infrastructure, international disbursement logistics, currency conversion operations, and platform maintenance.

8.2 Fee Formula

The Platform Service Fee is calculated as follows:

Platform Service Fee = $0.50 (flat) + 10% of the base transaction amount

If the selected payment method is PayPal, an additional surcharge of $0.50 is added:

Platform Service Fee (PayPal) = $0.50 (flat) + 10% of the base transaction amount + $0.50 (PayPal surcharge)

8.3 Fee Naming Conventions

The Platform Service Fee may appear under context-specific names in user interfaces and invoices:

Regardless of the label used, all such fees follow the formula set forth in Section 8.2.

8.4 Fee Display

All applicable Platform Service Fees are calculated and displayed to the user as a separate line item before payment confirmation. By proceeding with a transaction after reviewing the displayed fee, you consent to the fee.

8.5 Non-Refundability of Fees

Platform Service Fees are non-refundable in all circumstances, including in cases where the underlying transaction is refunded. See the Refund Policy for details.


9. Payment Processing — Stripe

9.1 Payment Processor

Payments on the Platform are processed by Stripe, Inc. (“Stripe”), a third-party payment processor. By making a payment through the Platform, you agree to Stripe’s Terms of Service and Privacy Policy. ReadyPixels is not responsible for errors, outages, disputes, or losses arising from Stripe’s payment processing services.

9.2 Stripe Connect

Marketplace seller payouts are facilitated through Stripe Connect. Sellers are required to create and maintain a Stripe Connect account to receive disbursements. Stripe’s identity verification, Know Your Customer (“KYC”), and anti-money laundering (“AML”) requirements apply to all seller accounts.

9.3 PayPal

Where PayPal is offered as an alternative payment method, the additional $0.50 PayPal surcharge described in Section 8.2 applies. This surcharge reflects PayPal’s higher transaction processing costs.

9.4 Currency

All transactions are denominated in United States Dollars (USD). Currency conversion, if applicable, is performed by the payment processor and is subject to the processor’s conversion rates and fees.

9.5 Payment Disputes and Chargebacks

If you believe a charge is erroneous, you must contact ReadyPixels at sharif@readypixels.com within thirty (30) days of the charge before initiating a chargeback with your financial institution. Initiating a chargeback without first contacting ReadyPixels may result in immediate account suspension.


10. Intellectual Property

10.1 ReadyPixels Ownership

ReadyPixels owns all intellectual property rights in and to the Platform, including but not limited to the Volqan framework, the Bazarix marketplace platform, all trademarks, service marks, logos, trade names, and associated goodwill. Nothing in these Terms grants you any ownership rights in the Platform.

10.2 User Content

You retain ownership of content you create using the Software. By submitting extensions, themes, or other content to the Marketplace, you grant ReadyPixels a non-exclusive, worldwide, royalty-free license to host, display, distribute, and promote such content in connection with the operation of the Platform.

10.3 Feedback

If you submit suggestions, ideas, enhancement requests, or other feedback regarding the Platform (“Feedback”), you grant ReadyPixels a perpetual, irrevocable, royalty-free license to use, incorporate, and exploit such Feedback in any manner without compensation or attribution to you.

10.4 Open Source Components

The Software incorporates third-party open-source software. Notices and license information for such components are provided in the repository. Your use of open-source components is governed by their respective licenses.


11. Disclaimers and Limitation of Liability

11.1 No Warranty

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. READYPIXELS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

READYPIXELS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL CODE. YOU USE THE PLATFORM AT YOUR OWN RISK.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL READYPIXELS, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF READYPIXELS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Aggregate Liability Cap

READYPIXELS’ TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO READYPIXELS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

11.4 Essential Basis

THE LIMITATIONS OF LIABILITY IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED AND REFLECT A REASONABLE ALLOCATION OF RISK THAT IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN READYPIXELS AND YOU.


12. Indemnification

You agree to indemnify, defend, and hold harmless ReadyPixels and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

(a) Your use of or access to the Platform; (b) Your violation of these Terms; (c) Your violation of any applicable law or regulation; (d) Your violation of any third party’s rights, including intellectual property rights; (e) Any content you submit, post, or transmit through the Platform; (f) Any unauthorized removal or tampering with the Attribution Notice.


13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.


14. Dispute Resolution and Binding Arbitration

14.1 Informal Resolution

Before initiating formal dispute proceedings, you agree to first contact ReadyPixels at sharif@readypixels.com and provide a written description of the dispute, the relief sought, and your contact information. The parties shall make good-faith efforts to resolve the dispute informally for a period of thirty (30) days from receipt of the notice.

14.2 Binding Arbitration

If the dispute is not resolved informally within thirty (30) days, all disputes, claims, or controversies arising out of or relating to these Terms, the Platform, or the relationship between you and ReadyPixels shall be finally and exclusively resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its then-current Commercial Arbitration Rules, except as modified by these Terms.

14.3 Arbitration Seat and Procedure

The arbitration shall be conducted in the State of Wyoming, United States of America, unless the parties agree otherwise in writing. The arbitration shall be conducted in the English language. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.4 Class Action Waiver

YOU AND READYPIXELS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.

14.5 Jury Trial Waiver

BY AGREEING TO THESE TERMS, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL with respect to any claim arising out of or relating to these Terms or the Platform.

14.6 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent imminent irreparable harm, including but not limited to relief related to the unauthorized removal of the Attribution Notice or infringement of intellectual property rights.

14.7 Small Claims

Either party may bring an individual action in a small claims court of competent jurisdiction in lieu of arbitration, provided the claim qualifies for small claims court jurisdiction.


15. Export Controls

You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. Government trade sanctions or export controls, and that you are not on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable export control laws and regulations.


16. Changes to the Platform

ReadyPixels reserves the right, at any time and without notice, to modify, suspend, or discontinue any portion of the Platform. ReadyPixels shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Platform.


17. Termination

17.1 Termination by You

You may cease use of the Platform at any time by deleting your account and ceasing all use of the Software.

17.2 Termination by ReadyPixels

ReadyPixels may terminate or suspend your access to the Platform immediately, without prior notice or liability, if you breach any provision of these Terms.

17.3 Effect of Termination

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including without limitation: ownership provisions, warranty disclaimers, indemnity, and limitations of liability (Sections 10, 11, 12, 13, 14). Active Support Plan subscribers terminated for cause shall not be entitled to a refund of prepaid fees.


18. Miscellaneous

18.1 Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, Attribution Policy, Fee Disclosure, and any other policies incorporated by reference, constitute the entire agreement between you and ReadyPixels with respect to the Platform and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions.

18.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18.3 Waiver

ReadyPixels’ failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without ReadyPixels’ prior written consent. ReadyPixels may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

18.5 Notices

All legal notices to ReadyPixels must be sent in writing to sharif@readypixels.com. ReadyPixels may provide notices to you via email at the address associated with your account or via a posting on the Platform.

18.6 Force Majeure

ReadyPixels shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, pandemics, or failures of third-party infrastructure providers.

18.7 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and ReadyPixels.
