Recitals

This Contributor License Agreement (“Agreement” or “CLA”) is entered into between ReadyPixels (“Licensor,” “Company,” “we,” or “us”), operated by Sharif (sharif@readypixels.com), and the individual or legal entity submitting a Contribution (as defined below) to the Volqan project (“Contributor,” “you,” or “your”).

WHEREAS, Licensor operates and maintains the Volqan open-source application framework (the “Project”) under the Open Core Attribution License v1.0;

WHEREAS, Contributor desires to submit code, documentation, bug fixes, feature additions, design assets, or other materials to the Project;

WHEREAS, Licensor requires all Contributors to execute this CLA to ensure that the Project has a clear and consistent intellectual property foundation, enabling ReadyPixels to maintain, develop, and commercialize the Project on a sustainable basis;

NOW, THEREFORE, in consideration of the mutual promises set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:


Part I — Definitions

1.1 “Contribution”

“Contribution” means any original work of authorship, including but not limited to:

(a) Source code in any programming language; (b) Bug fixes, patches, and modifications to existing code; (c) New features, modules, extensions, or plugins contributed to the core Project; (d) Tests, test suites, and quality assurance tooling; (e) Documentation, tutorials, guides, and technical writing; (f) Design assets, icons, illustrations, and user interface elements; (g) Configuration files, build scripts, CI/CD workflows, and infrastructure code; (h) Translations and localization files; (i) Any other material intentionally submitted by the Contributor to Licensor for inclusion in, or documentation of, the Project.

“Contribution” does not include communications, issue reports, or feature requests that are not accompanied by a submission of original work.

1.2 “Submit”

“Submit” means any act by which the Contributor conveys a Contribution to Licensor, including but not limited to: opening a pull request on the Project’s GitHub repository; attaching a patch or archive file to an issue, email, or message directed to Licensor; or any other method of electronic or written delivery that results in Licensor having access to the Contribution.

1.3 “Intellectual Property Rights”

“Intellectual Property Rights” means all current and future worldwide intellectual property rights, including but not limited to: copyrights, moral rights (to the extent waivable), patent rights, trade secret rights, trademark rights, and any other proprietary rights recognized under applicable law.

1.4 “Project”

“Project” means the Volqan open-source framework, including all packages published under the @volqan/* npm namespace, the Bazarix marketplace platform, the CLI tool (npx create-volqan-app), all associated documentation, and all derivative works thereof.

1.5 “Licensor”

“Licensor” means ReadyPixels, operated by Sharif (sharif@readypixels.com), its successors, assigns, and any entity that controls, is controlled by, or is under common control with ReadyPixels.


2.1 Assignment of Contributions

Subject to the terms and conditions of this Agreement, Contributor hereby irrevocably assigns, transfers, and conveys to Licensor all right, title, and interest in and to each Contribution, including all Intellectual Property Rights therein, throughout the world, in perpetuity, for all current and future forms of exploitation and in all media now known or hereafter devised.

This assignment is effective immediately upon the submission of each Contribution. Contributor agrees to execute any further documents and take any further actions reasonably requested by Licensor to evidence, record, perfect, or enforce this assignment.

2.2 Work Made for Hire

To the maximum extent permitted by applicable law, each Contribution shall be deemed a “work made for hire” (as defined in 17 U.S.C. § 101 of the United States Copyright Act) created for and on behalf of Licensor. To the extent any Contribution does not qualify as a work made for hire under applicable law, the assignment in Section 2.1 shall apply.

2.3 Moral Rights Waiver

To the extent permitted by applicable law, Contributor irrevocably waives all moral rights in and to each Contribution, including the rights of attribution and integrity, in favor of Licensor and its successors, assigns, and licensees.

2.4 License-Back to Contributor

Notwithstanding the assignment in Section 2.1, Licensor hereby grants back to Contributor a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, and distribute the Contribution for any purpose, including commercial purposes, subject to the condition that the Contributor does not use the Contribution in a manner that directly competes with the Project or that violates Licensor’s rights in the Project.

2.5 Patent License

Contributor hereby grants to Licensor a perpetual, worldwide, non-exclusive, royalty-free, irrevocable patent license to make, have made, use, sell, offer for sale, import, and otherwise transfer the Project to the extent such license is required to incorporate the Contribution into the Project. This patent license applies to any patent claims that are necessarily infringed by the Contribution alone or in combination with the Project as it existed at the time of submission.


Part III — Warranties and Representations

3.1 Original Work

Contributor represents and warrants that:

(a) Each Contribution is Contributor’s original work of authorship — meaning Contributor independently created the Contribution without copying or substantially deriving from any work authored by a third party;

(b) To Contributor’s knowledge, the Contribution does not infringe or misappropriate the Intellectual Property Rights of any third party;

(c) Contributor has the full legal right and authority to submit the Contribution and to grant the assignment and licenses described in this Agreement;

(d) If Contributor is submitting the Contribution on behalf of a company, organization, or other legal entity, Contributor has the authority to bind that entity to this Agreement, and all representations in this Agreement are made on behalf of that entity.

3.2 Third-Party Materials

If the Contribution includes, is derived from, or incorporates any work authored by a third party (“Third-Party Materials”), Contributor represents and warrants that:

(a) Such Third-Party Materials are clearly identified in the Contribution submission (e.g., in commit messages, comments, or a THIRD_PARTY.md file);

(b) Such Third-Party Materials are licensed under a license compatible with the Open Core Attribution License v1.0, including without limitation licenses on the Open Source Initiative’s approved license list (https://opensource.org/licenses);

(c) The inclusion of such Third-Party Materials does not impose license obligations on Licensor or end users of the Project that are inconsistent with the OCAL.

3.3 No Encumbrances

Contributor represents and warrants that the Contribution is free from:

(a) Claims, liens, encumbrances, or restrictions that would prevent or impair the assignment described in Section 2.1;

(b) Any confidentiality obligations to a third party (e.g., a current or former employer) that would prohibit submission of the Contribution;

(c) Any patent license, trade secret agreement, or other legal restriction that would prohibit Licensor from exploiting the Contribution in the manner contemplated by this Agreement.

3.4 Employment and Contractor Status

If Contributor is employed by a company or engaged as an independent contractor, and the Contribution is created within the scope of that employment or engagement, Contributor represents and warrants that:

(a) Contributor has obtained all necessary permissions from the employer or contracting party to submit the Contribution and to grant the rights described in this Agreement; OR

(b) The Contribution was created entirely outside the scope of Contributor’s employment or engagement, using no company resources, systems, or time, and Contributor’s employer or contracting party has no claim to the Contribution.

3.5 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, CONTRIBUTIONS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LICENSOR ACCEPTS CONTRIBUTIONS AS SUBMITTED AND IS RESPONSIBLE FOR DETERMINING WHETHER CONTRIBUTIONS ARE SUITABLE FOR INCLUSION IN THE PROJECT.


Part IV — Commercial Use of Contributions

4.1 Contributions May Be Used in Commercial Products

Contributor expressly agrees and acknowledges that Contributions assigned under this Agreement may be incorporated into, distributed as part of, and used in commercial products and services derived from or built upon the Volqan framework, including but not limited to:

(a) The Volqan Pro Version (a future closed-source commercial product);

(b) The Volqan Hosted/Cloud Version (a future managed hosting service);

(c) Enterprise white-label versions of the Volqan framework;

(d) The Bazarix Marketplace platform;

(e) Any SaaS product, application, or service built upon the Volqan framework by ReadyPixels or its licensees;

(f) Any product or service created by a successor entity or acquirer of ReadyPixels.

4.2 No Compensation for Incorporated Contributions

Unless separately agreed in writing, Contributor is not entitled to any compensation, royalty, revenue share, or other remuneration for Contributions incorporated into the Project, including incorporated into commercial products derived from the Project. Contributor’s incentive for contributing is participation in the open-source community, attribution in the project’s contributor records, and the license-back described in Section 2.4.

4.3 Attribution in Project Records

Licensor will use reasonable efforts to acknowledge Contributor’s contributions in the project’s contributor records (e.g., the repository commit history, a CONTRIBUTORS.md file, or release notes). However, Licensor is not obligated to credit Contributor in commercial product documentation, marketing materials, or end-user-facing interfaces.

4.4 License Compatibility

Licensor retains the right to change the license governing the Project (or portions thereof, including Contributions) to any other license, including a proprietary or commercial license, without seeking Contributor’s further consent. This right is a consequence of the full IP assignment in Section 2.1. Licensor commits to maintaining an open-source version of the core framework, but makes no binding commitment to perpetual open-source licensing.


Part V — Ongoing Obligations

5.1 Notification of Changed Circumstances

Contributor agrees to promptly notify Licensor at sharif@readypixels.com if Contributor becomes aware after submission of any circumstances that would make the warranties in Section 3 inaccurate or that would give a third party a claim in any Contribution.

5.2 Cooperation

Contributor agrees to cooperate with Licensor, at Licensor’s reasonable request and expense, in the defense of any claim or action arising from the inclusion of a Contribution in the Project, including providing testimony, documents, and assistance in verifying the originality and chain of title of the Contribution.

5.3 Future Contributions

This Agreement applies to all Contributions submitted by Contributor at any time, both before and after the effective date of this Agreement. Each future Contribution is automatically subject to this Agreement upon submission. Contributor may not submit a Contribution under different terms without Licensor’s express prior written consent.


Part VI — General Provisions

6.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.

6.2 Dispute Resolution

Any dispute arising out of or in connection with this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the seat of arbitration in Wyoming, USA. The arbitrator’s award shall be final and binding.

6.3 Entire Agreement

This Agreement constitutes the entire agreement between Licensor and Contributor with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements, representations, or understandings (written or oral) relating to the same subject matter.

6.4 Amendment

Licensor may revise this Agreement at any time by posting an updated version at https://volqan.link/docs/legal/contributor-license-agreement. Continued submission of Contributions after such revision constitutes acceptance of the revised Agreement.

6.5 Severability

If any provision of this Agreement is held invalid, illegal, or unenforceable, the remainder of the Agreement shall continue in full force and effect.

6.6 Waiver

Licensor’s failure to enforce any provision of this Agreement shall not constitute a waiver of such provision or of Licensor’s right to enforce it in the future.

6.7 Assignment

Licensor may assign this Agreement and its rights hereunder without Contributor’s consent, including in connection with a merger, acquisition, or sale of all or substantially all of Licensor’s assets. Contributor may not assign this Agreement or any rights or obligations hereunder without Licensor’s prior written consent.

6.8 Electronic Acceptance

Acceptance of this Agreement by electronic means — including by checking an acceptance checkbox on the GitHub repository, submitting a pull request accompanied by a CLA acknowledgment, or sending written confirmation by email — is legally equivalent to the Contributor’s handwritten signature and creates a binding contract.


Part VII — Acceptance

By submitting a Contribution to the Volqan project, including by opening a pull request, you:

  1. Confirm that you have read and understand this Contributor License Agreement in its entirety;
  2. Agree to be legally bound by all of its terms;
  3. Represent and warrant that all statements made in Section 3 (Warranties and Representations) are true and accurate as of the date of each Contribution submission;
  4. Consent to the assignment of Intellectual Property Rights described in Section 2.

If you do not agree to these terms, do not submit any Contribution to the Project.

Individual contributors indicate acceptance through GitHub pull request submission in accordance with the repository’s CONTRIBUTING.md instructions.
